Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Karna Arc Ventures LLC("Karna Arc Ventures LLC", "we", "us", "our") governing your use of the website, waitlist and referral program for Pixumio, a product of Karna Arc Ventures LLC(together, the "Service"). "Pixumio" is a product name and is not a separate legal entity.

By joining the waitlist or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Please read Section 14 carefully: it contains a binding arbitration agreement and class action waiver that affect how disputes are resolved.

1. Pre-launch service

Pixumio is in development and has not launched. The Service currently lets you join a waitlist and invite others. Descriptions, images and features shown on the site — including turning photos into brick sets, 3D previews, parts lists, instructions and delivery — describe a planned product and are illustrative only. Some images are concept renders. We do not promise that Pixumio will launch, when it will launch, what it will cost, where it will be available, or that it will include any particular feature.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or guardian, who agrees to these Terms on your behalf.

3. Joining the waitlist

  • You must provide a valid email address that you own and control.
  • One waitlist entry per person. Entries created with fake, disposable, aliased or automated email addresses may be removed.
  • Joining the waitlist is free and creates no obligation to buy anything.
  • Joining does not create an order, reservation, pre-sale, or guarantee of access, pricing or availability.

4. Place in line and referral program

  • Your place in line is calculated from when you joined and from referral priority. It is an estimate that changes as others join and invite people.
  • When someone joins through your personal invite link using a new, valid email address, both of you may receive priority "spots" as described on the site. The number of spots per referral, and any tiers or checkpoints, may be changed at any time.
  • Priority spots have no cash value, cannot be sold, transferred or exchanged, and are not a promise of a launch date, early access, discount or free product unless we expressly say so in writing for a specific promotion.
  • Sharing your link alone earns nothing; only qualifying sign-ups count. Duplicate, existing or self-referred email addresses do not count.
  • You may not manipulate the program, including by creating multiple accounts, using bots or scripts, buying or trading referrals, spamming, posting your link where it is not allowed, or misleading anyone about Pixumioor the rewards.
  • We may verify referrals, withhold or reverse priority, adjust positions, or remove entries at our sole discretion if we suspect fraud, abuse or a breach of these Terms. We may modify, suspend or end the referral program at any time.
  • When you share your link, you are responsible for complying with anti-spam and marketing laws (such as CAN-SPAM, CASL and GDPR). Only share with people who would welcome it.

5. Promotions

We may run separate promotions, contests or giveaways. Each will have its own official rules, which control if they conflict with these Terms. Promotions are void where prohibited.

6. Communications

By joining, you agree that we may email you about the waitlist, your referral status and Pixumio. You can opt out of marketing emails at any time using the unsubscribe link; we may still send essential messages about your waitlist entry or these Terms.

7. Acceptable use

You agree not to:

  • Use the Service in violation of any law or the rights of others.
  • Attempt to access non-public parts of the Service, its database, admin areas or other users' data.
  • Interfere with, overload, scrape, probe or disrupt the Service or its security features.
  • Reverse engineer the Service except where the law expressly permits it.
  • Impersonate any person or misrepresent your affiliation with Karna Arc Ventures LLC.
  • Use the Service to send unsolicited messages or distribute malware.

8. Your submissions and feedback

If you send us ideas, answers (such as what you would build first), suggestions or feedback, you grant Karna Arc Ventures LLC a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you. Do not send confidential information.

9. Intellectual property

The Service, including its design, text, graphics, characters (including our pixel mascot), software and the "Pixumio" name, is owned by Karna Arc Ventures LLC or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Service for personal, non-commercial purposes. All other rights are reserved. Certain photographs are used under third-party licenses and remain the property of their owners.

10. No affiliation

Pixumio plans to use compatible bricks. Karna Arc Ventures LLC and Pixumio are independent and are not affiliated with, sponsored by or endorsed by any toy or brick manufacturer. All third-party trademarks belong to their respective owners.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KARNA ARC VENTURES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY PLACE IN LINE, COUNT OR STATISTIC SHOWN IS ACCURATE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KARNA ARC VENTURES LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OPPORTUNITY OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify and hold harmless Karna Arc Ventures LLC and its members, managers, employees and agents from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

14. Dispute resolution, arbitration and class action waiver

Informal resolution. Before filing a claim, you agree to email legal@pixumio.com with a description of the dispute and try to resolve it informally for at least 30 days.

Arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement of intellectual property.

Class action waiver. You and Karna Arc Ventures LLC agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective or representative proceeding. If this waiver is found unenforceable, the arbitration agreement will not apply to that claim.

Opt-out. You may opt out of this arbitration agreement by emailing legal@pixumio.com within 30 days of first accepting these Terms, stating your name, email and that you opt out.

15. Governing law

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to Section 14, the exclusive venue for any court proceeding is the state or federal courts located in the State of California. If you live in the EEA or UK, you keep the protection of the mandatory laws of your country of residence.

16. Termination

We may suspend or end your access, or remove your waitlist entry, at any time for any reason, including breach of these Terms. You may leave at any time by emailing legal@pixumio.com. Sections 4 (priority has no value), 8, 9 and 11–18 survive termination.

17. Changes

We may update these Terms. We will change the "Last updated" date and, for material changes, notify you by email or on the site. Continued use after changes take effect means you accept them. Additional terms will apply to any future purchases, and will be presented before you order.

18. General

These Terms and the Privacy Policy are the entire agreement between you and Karna Arc Ventures LLC about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
